LETTERS PATENT OF AMALGAMATION

Notice is hereby given, pursuant to the provisions of section 250 of the Insurance Companies Act (Canada), that, subject to the approval of an amalgamation agreement by the Superintendent of Financial Institutions, Heartland Farm Mutual Inc. and The Kings Mutual Insurance Company (together, the “Applicants”) intend to make a joint application to the Minister of Finance, on or after April 27, 2021, for letters patent of amalgamation continuing the Applicants as one company under the name “Heartland Farm Mutual Inc.”. The head office of the amalgamated company would be located in Waterloo, Ontario.

The effective date of the proposed amalgamation would be June 30, 2021, or any other date fixed by the letters patent of amalgamation.

A copy of the report of the independent actuary (and summary) will be available for inspection by the policyholders of each of Heartland Farm Mutual Inc. and The Kings Mutual Insurance Company during regular business hours at the applicable address as set out below.

VIRGINIA SURETY COMPANY, INC.

RELEASE OF ASSETS

Pursuant to section 651 of the Insurance Companies Act (Canada) [the “Act”], notice is hereby given that Virginia Surety Company, Inc. intends to apply to the Superintendent of Financial Institutions (Canada) on or after May 1, 2021, for an order authorizing the release of the assets that it maintains in Canada in accordance with the Act.

Any policyholder or creditor in respect of Virginia Surety Company, Inc.'s insurance business in Canada opposing that release is invited to file an opposition by mail to the Office of the Superintendent of Financial Institutions (Canada), Regulatory Affairs Division, 255 Albert Street, Ottawa, Ontario K1A 0H2, or by email at approvalsandprecedents@osfi-bsif.gc.ca, on or before May 1, 2021.
